1. Agreement & Services Scope
This Agreement is entered into between Exevity Inc. ("Exevity", "Company", "We") and the entity or individual accessing or using the Service ("Customer", "User", "You").
By creating an account, executing an online order form, or accessing our goal-to-execution software platform ("Service"), you agree to be bound by these Terms. If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.
2. Account Administration & Workspace Security
- Authorized Users: Customer may authorize employees, contractors, or team members ("Authorized Users") to access workspaces under its subscription. Customer is responsible for all actions taken by its Authorized Users.
- Administrator Authority: Customer Administrators have full authority to invite users, assign manager roles, purchase member add-on packs, configure privacy controls, and manage workspace data.
- Credentials Confidentiality: You are responsible for securing your login credentials and single sign-on tokens. Exevity is not liable for loss or damage arising from unauthorized access resulting from Customer's failure to secure credentials.
3. Subscriptions, Member Add-on Packs & Billing Terms
A. Subscription Plans & Add-on Packs
Paid plans (Solo, Pro, Enterprise) operate on recurring monthly or annual subscription terms. Pro plans include a base team allocation of 5 members at a flat price ($49/month or $39/month billed annually). Additional member seats are acquired via +3 Member Add-on Packs for +$25/month per pack. Add-on packs co-terminate with your primary billing cycle.
B. Payment & Automatic Renewals
Subscriptions automatically renew for successive renewal terms unless canceled prior to the end of the current billing cycle. All payments are billed in U.S. Dollars (USD) or localized currency equivalents.
C. Non-Refundable Fees & Taxes
Except as expressly set forth herein or mandated by applicable mandatory consumer laws, all payment obligations are non-cancelable and all fees paid are non-refundable. Customer is responsible for all applicable taxes, duties, and government assessments.
4. Customer Content & Exevity Intellectual Property
📂 Customer Content Ownership
Customer retains 100% full ownership of all goals, projects, SOP processes, tasks, metrics, and data uploaded to the Service ("Customer Content").
🛡️ Exevity Intellectual Property
Exevity retains all rights, title, and interest in and to the platform, execution engine, UI design, software code, algorithms, documentation, and trademarks.
5. Confidentiality & Data Security
Each party agrees to protect the other party's Confidential Information with the same degree of care it uses to protect its own confidential information (and no less than reasonable care).
6. Acceptable Use Restrictions
Customer shall not, and shall not permit any Authorized User to:
- Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Service.
- Use automated bots, scrapers, or scripts to overload, scan, or breach platform security controls.
- Upload malicious code, viruses, or unlawful, defamatory, or infringing material.
7. Term, Suspension & Data Export
Post-Termination Data Export: Upon termination or account deletion, Customer will have a 30-day window to export Customer Content before workspace data is permanently purged from active production servers.
8. Warranties & Disclaimers
EXPRESS WARRANTY DISCLAIMER
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. EXEVITY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
9. Limitation of Liability
Total Aggregate Liability Cap
EXEVITY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO EXEVITY IN THE TWELVE (12) MONTHS PRECEDING THE FIRST INCIDENT GIVING RISE TO LIABILITY.
10. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with applicable laws. Any dispute shall be settled under binding arbitration or competent court jurisdiction.
